David Archibald
In his 20-year career with Nortel Networks, David Archibald provided legal counsel for many of NortelÕs strategic legal transactions, including technology licensing, sales, marketing, and mergers and acquisitions. Mr. Archibald joined Northern Telecom in 1979 as Vice President, Secretary & General Counsel of Northern Telecom Canada Ltd. and was responsible for the legal affairs for Northern Telecom in Canada including Bell Northern Research and for certain international sales and marketing activities. Mr. Archibald served as Vice President and Deputy General Counsel of Nortel Networks Corporation from 1995 to 1999.

Mr. Archibald served as a director and/or member of the executive committee on several of NortelÕs portfolio companies, including Entrust Technologies and Prism Systems Inc., a joint venture between Nortel and BC Tel which focused on network management systems. With respect to Entrust, he played a role in structuring a US$100 million private placement and a subsequent US$800 million IPO on the NASDAQ.

At Nortel Networks, Mr. Archibald held global responsibilities. He managed a team of legal and intellectual property professionals that was responsible for commercial and business arrangements, including agreements for intellectual property rights and licensing in Canada and abroad.

Mr. Archibald also has access to a significant network in the legal and business communities. He is a past director and Vice Chairman of the Electro Federation of Canada, the trade association of CanadaÕs electric and electronics industry. He is also a member of the Law Society of Upper Canada, and has been active in the Canadian Bar Association, and the Canadian Corporate Counsel Association. Mr. Archibald has been a frequent speaker at conferences dealing with legal affairs, including intellectual property rights, anti-trust issues, and management of legal departments.

Mr. Archibald holds a Bachelor of Laws (LLB) and a Bachelor of Commerce degree from Dalhousie University. He has also completed the Program for Management Development (PMD) at Harvard Business School.

Alan Lytle
Mr. Lytle joined Nortel in 1978, holding positions in systems, general management, and sales. In 1991, he became Vice President, Marketing, for Northern Telecom Canada and, in 1993, assumed international marketing responsibilities with positions based in Hong Kong, London and Beijing.

In 1997, Mr. Lytle returned to North America where he developed the Global Carrier Account program to support NortelÕs major customers worldwide.

Mr. Lytle also applied his skills to increase NortelÕs market capabilities in newly deregulated markets. Mr. Lytle was appointed Executive Vice President and Chief Operating Officer of Nortel DASA in November 1998. Nortel DASA, a joint venture with DaimlerChrysler Aerospace was created to expand the German and eastern European markets. As C.O.O., he was responsible for line management of the business and customer account teams and his leadership contributed to the doubling of the companyÕs revenues in eighteen months.

Mr. LytleÕs training in physics and numerous technology positions throughout his career give him the ability to analyze and understand the use and application of leading edge technologies. He has worked for major global corporations such as Chevron, ICL and Xerox.

Mr. Lytle understands the challenges of marketing leading edge communications technologies and has the advantageous perspective of understanding broadband, wireless and the emerging business models from a technical, marketing and management perspective.

Mr. Lytle holds a B.Sc. Tech (Hons) from Manchester University.

Arthur MacDonald
Arthur MacDonald has 36 years experience in telecommunications on a global basis with Nortel Networks. During his career he held numerous senior management roles including general management, technology leadership, marketing, operations, and product management.

Internationally, Mr. MacDonald was Chairman of Nortel China from 1993 to 1996 establishing a series of Joint Ventures, R&D labs and building Nortel's business in Greater China while living in Beijing. Through 1999 to 2001 he was Chairman of NETAS Nortel's JV in Turkey.

From 1996 to 1999 Mr. MacDonald was Group Vice President responsible for Nortel's components business (including semiconductor and optical), process and software development and supply management with offices and operations in numerous countries. In 1999 to 2000 he was Senior Vice President, Corporate Services with major initiatives in outsourcing. During the 1980Õs as Global Product Line Manager and as Group Vice President, Mr. MacDonald played a leadership role as Nortel became a global leader in Digital switching.

During his career, Mr. MacDonald has been in the forefront of new business and new market establishment. This includes technology management, team building, coaching and new product launches in new markets.

Mr. MacDonald has an B.Eng from Technical University of Nova Scotia (now part of Dalhousie University).
